Terms of Service

1. The agreement

These Terms of Service (“Terms”) are an agreement between you and 2599577 Ontario Corporation, doing business as DayCarp (“DayCarp”, “we”, “us”), a company incorporated in Ontario, Canada, for your use of daycarp.com, the DayCarp app at note.daycarp.com, the DayCarp Audio Helper, and related services (the “Service”). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you use DayCarp for an organization, you agree for that organization and confirm you’re allowed to.

2. Your account

3. Your content

You own everything you put into DayCarp: notes, tasks, images, transcripts and anything else (“Your Content”). You give us a limited, worldwide, non-exclusive licence to host, store, copy, process, transmit and display Your Content only as needed to run, secure and improve the Service for you, including sending the parts a request needs to the AI or integration providers you choose to use. This licence ends when Your Content is deleted, except for copies in backups until they expire.

We don’t sell Your Content, and we don’t use it to train AI models. You’re responsible for Your Content and for having the rights to it.

4. Meeting capture and recording laws

DayCarp can transcribe what your microphone and your computer’s audio pick up. Laws in many places require the consent of everyone in a conversation before it’s recorded or transcribed. You’re responsible for telling participants and getting any consent the law requires before you capture a meeting. DayCarp keeps transcripts, not audio.

5. AI features

AI features (DayCarp AI, your own connected providers, and AI-assisted meeting summaries) generate output automatically. That output can be inaccurate, incomplete or out of date, and it isn’t professional advice. Review it before you rely on it. When you use a provider you connect yourself, that provider’s terms and pricing also apply, and you’re responsible for your account with them.

6. Acceptable use

Don’t use the Service to:

7. Plans, trials and billing

8. Third-party services

The Service works with third-party services such as payment, AI and integration providers (for example Stripe, OpenAI, Anthropic and Attio). We aren’t responsible for services we don’t control, and your use of them may be subject to their own terms.

9. Our service and software

DayCarp, its software, design, logo and the DayCarp Audio Helper belong to us or our licensors. We give you a personal, non-exclusive, non-transferable, revocable licence to use them to access the Service under these Terms. Open-source components are covered by their own licences. If you send us feedback or ideas, we may use them without any obligation to you.

10. Beta, changes and availability

DayCarp is in active development and in private beta. We may add, change or remove features, and some features may be labelled beta or experimental. We aim to keep the Service available and your data safe, but we don’t promise it will be uninterrupted or error-free. Keep your own exports of anything critical; you can export your notes at any time.

11. Ending the agreement

You can stop using DayCarp at any time and delete your account yourself in Settings → Account → Delete account (you’ll confirm with your username and password). Deleting your account permanently deletes Your Content and cancels any subscription immediately, without a refund for the rest of the period (except where the law requires one). We may suspend or close your account if you seriously or repeatedly break these Terms, if the law requires it, or to prevent harm to the Service or others. Where reasonable, we’ll tell you first and give you a chance to export Your Content. If we discontinue the Service entirely, we’ll give you reasonable notice and refund any unused prepaid period.

12. Disclaimer

To the extent the law allows, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.

13. Limitation of liability

To the extent the law allows, DayCarp won’t be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim and 100 US dollars.

Nothing in these Terms limits liability that can’t be limited by law, such as for death or personal injury caused by negligence, or for fraud. If you’re a consumer, you also keep the rights the law of the country you live in gives you, which these Terms don’t override.

14. Indemnity

If you use the Service in breach of these Terms or the law, or Your Content infringes someone’s rights, you agree to cover the reasonable costs of claims brought against us as a result. This doesn’t apply to consumers where the law doesn’t allow it.

15. Changes to these Terms

We may update these Terms. We’ll change the “Last updated” date, and for significant changes we’ll tell you in the app or by email at least 14 days before they take effect. If you keep using DayCarp after that, the new Terms apply; if you don’t agree, you can stop using the Service and cancel.

16. General

These Terms, together with the Privacy Policy, are the whole agreement between you and us about the Service. If a part is found unenforceable, the rest still applies. If we don’t enforce a right, we haven’t waived it. You can’t transfer these Terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets. Before starting any legal claim, please contact us first at alex@daycarp.com so we can try to resolve it informally.

17. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-law rules. The courts of Ontario have exclusive jurisdiction over any dispute about these Terms or the Service, and you and we agree to submit to them. If you’re a consumer, this doesn’t take away the protection of the mandatory consumer laws of the place where you live, or any right you have under them to bring a claim in your local courts.
